Terms of Service

These Terms of Service (the "Terms") govern your use of the ngageflow.com website and the NgageFlow platform. NgageFlow is part of the Ngage Suite and is operated by EX10 ("we", "us") — ex10global.com. By using the website or the platform, you agree to these Terms. If you use NgageFlow on behalf of an organization, you confirm that you are authorized to bind that organization.

Definitions

  • "Platform" — the NgageFlow software, including the visual flow builder, AI agent steps, connectors and templates, whether self-hosted by the Customer or managed by EX10.
  • "Website" — ngageflow.com and its content.
  • "Customer" — the organization that licenses the Platform from EX10.
  • "Customer Data" — data the Customer processes through the Platform, including ERP records, flow configurations, connection credentials and run history.
  • "Order" — the order form, statement of work or subscription agreement under which EX10 grants the Customer access to the Platform.

Early access and availability

NgageFlow is generally available Summer 2026. Before general availability, access is provided under early-access arrangements agreed individually with EX10, and early-access features may change or be withdrawn. Descriptions of capabilities and timelines on the Website — including those on the platform and pricing pages — describe current and planned capability and are not a binding offer or commitment.

License and acceptable use

Subject to your Order, EX10 grants the Customer a non-exclusive, non-transferable license to use the Platform for its internal business purposes. You may not:

  • resell, sublicense, rent or otherwise provide the Platform to third parties, except as expressly agreed in your Order;
  • reverse engineer, decompile or disassemble the Platform, except to the extent applicable law permits despite this restriction;
  • use the Platform to violate law, infringe the rights of others, or send unsolicited bulk messages;
  • attempt to bypass the Platform's security controls or the isolation between projects;
  • use connected third-party services through the Platform in breach of those services' own terms.

Self-hosted and managed deployments

In a self-hosted deployment, the Customer runs the Platform in its own infrastructure. The Customer is responsible for that infrastructure — including availability, backups, network security and applying updates — and EX10 provides the software and support as described in the Order. In a managed deployment, EX10 operates the Platform on the Customer's behalf and is responsible for hosting and operations as described in the Order; the Customer remains responsible for how it configures flows, connections and user access. Customer data ownership

The Customer retains all right, title and interest in Customer Data, including all ERP data the Platform reads from or writes to IFS Cloud. EX10 claims no ownership of Customer Data. In self-hosted deployments, Customer Data stays within the Customer's infrastructure. In managed deployments, EX10 processes Customer Data only to provide the service, as described in the Privacy Policy and any data processing agreement between the parties.

Third-party services and connectors

The Platform connects to third-party services that the Customer chooses, such as Gmail, Outlook, Slack and Microsoft Teams. Those services are governed by their own terms, and EX10 is not responsible for their availability, behavior or changes to their interfaces. Product and company names referenced on the Website and in the Platform — including Gmail, Outlook, Slack, Microsoft Teams and IFS Cloud — are the trademarks of their respective owners; references do not imply affiliation or endorsement.

AI outputs

The Platform includes AI agents that can read data, draft content, make decisions and act within workflows. AI outputs can be inaccurate or incomplete. The Customer is responsible for reviewing AI outputs before relying on them, and must keep a human in the loop for material decisions — for example financial postings, supplier or order commitments, and anything with legal or safety consequences. The Platform's approval and human-in-the-loop steps exist for this purpose.

Warranties and limitation of liability

Except as expressly stated in an Order, the Platform and the Website are provided "as is" without warranties of any kind, whether express or implied, and EX10 does not warrant that they will be uninterrupted or error-free. To the maximum extent permitted by law, EX10 is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Unless an Order states otherwise, EX10's total liability arising out of these Terms is limited to the amounts the Customer paid for the Platform in the twelve months before the event giving rise to the claim.

Termination

Either party may terminate as set out in the Order. EX10 may suspend or terminate access to the Platform for a material breach of these Terms that is not cured within a reasonable period after notice. On termination, the Customer's license ends: self-hosted Customers must stop using the software, and for managed deployments EX10 returns or deletes Customer Data as described in the Order and the Privacy Policy.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected in the "last updated" date above, and continued use of the Website or the Platform after a change means you accept the updated Terms.

Governing law

Governing law and venue are set out in your Order. Where no Order applies, these Terms are governed by the laws of the jurisdiction in which EX10 is registered, without regard to conflict-of-law principles.
